Mishale — Terms of Service & Use (v2026-06-04)

Mishale, Inc. is a Delaware corporation. These terms are governed by the laws of the State of Delaware, United States (§8). By accepting, you agree to the following.

1. What the service is. Mishale generates a Computational Feasibility Memo — a computational, public-data desk study that supports a go/no-go decision on a gene-therapy target. It is not medical, clinical, or regulatory advice; not an IND-enabling package or regulatory submission; and not a wet-lab result.

2. No warranty. The memo is provided "as is," without warranty of any kind, express or implied, including fitness for a particular purpose. Outputs are model-derived estimates, not validated predictions, and have not been externally validated against program outcomes.

3. Your responsibility. You are solely responsible for independently verifying every finding — especially guide efficiency, off-target risk, and dosing — experimentally and against current regulatory guidance before any clinical or manufacturing use. Do not rely on the memo as the sole basis for a clinical, manufacturing, or investment decision.

4. Limitation of liability. To the maximum extent permitted by law, Mishale's total liability arising from your use of the service shall not exceed the fees you paid for the report(s) at issue. Mishale is not liable for indirect, incidental, or consequential damages.

5. Confidentiality of your inputs. Target/indication inputs you submit are treated as confidential and are not disclosed to third parties.

6. Data rights. Mishale may retain and use de-identified design inputs, outputs, and any outcome data you choose to share to operate, calibrate, and improve the platform. Aggregated, de-identified data may be used without restriction; your confidential program details are not.

7. Acceptable use. One account per organisation/user; no resale or redistribution of the service. The Starter (self-serve) tier is intended for academic and pre-seed use; funded-program and enterprise use is provisioned under a separate agreement.

8. Changes & governing law. These terms may be updated; material changes require re-acceptance. These terms are governed by the laws of the State of Delaware, United States, and applicable U.S. federal law, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Delaware, USA, and you consent to their personal jurisdiction. If any provision is held unenforceable, the remainder stays in effect.
